Securities Legal Assistant/Paralegal – #5144

Our client, a well-established downtown Vancouver law firm, is seeking a Securities Legal Assistant/Paralegal to join its busy securities practice.

This role will support lawyers and clients on a wide range of securities and corporate matters involving reporting issuers, including private placements, public offerings, share consolidations, name changes, takeover/issuer bids, continuous disclosure obligations, and related regulatory filings.

Key Responsibilities

  • Prepare, complete, and manage securities filings through SEDAR+, SEDI, BCSC eServices, OSC Electronic Filing Portal, TMX LINX, Canadian Securities Exchange, and CDS.
  • Coordinate securities filings, filing fees, deadlines, and regulatory requirements.
  • Prepare and file Reports of Exempt Distribution, exemptive relief applications, TSX/TSXV filings, and continuous disclosure documents.
  • Assist with transfer agent matters and securities compliance requirements.
  • Prepare and file news releases, material change reports, financial statements, MD&A, CEO/CFO certificates, early warning reports, annual information forms, and AGM materials.
  • Prepare corporate documentation relating to incorporations, amalgamations, continuances, dissolutions, resolutions, and related corporate transactions.
  • Conduct securities-related research and assist with precedent development and maintenance.
  • Support special projects and provide administrative assistance to the securities group as required.

Qualifications

  • Minimum 5 years of experience in a securities, corporate, or hybrid legal support role within a law firm.
  • Legal Administrative Assistant or Paralegal certificate/diploma.
  • Experience with securities filing systems and reporting issuer matters.
  • Strong organizational, analytical, and project management skills.
  • Exceptional attention to detail, proofreading, and communication abilities.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Advanced proficiency with Microsoft Office and legal document management systems.
