Securities Paralegal / Legal Assistant – #5159
Our client, a respected downtown Vancouver law firm, is seeking an experienced Securities Paralegal/Legal Assistant to support its busy securities practice.
The successful candidate will work closely with lawyers on a broad range of corporate and securities matters involving reporting issuers, including private placements, public offerings, share consolidations, name changes, takeover and issuer bids, continuous disclosure obligations, and regulatory compliance.
Responsibilities
- Prepare, process, and submit securities filings through SEDAR+, SEDI, BCSC eServices, the OSC Electronic Filing Portal, TMX LINX, the Canadian Securities Exchange, and CDS.
- Coordinate regulatory filings while monitoring filing deadlines, fees, and compliance requirements.
- Prepare and file Reports of Exempt Distribution, exemptive relief applications, TSX/TSXV submissions, and continuous disclosure filings.
- Assist with securities compliance matters and transfer agent requirements.
- Prepare and file news releases, material change reports, financial statements, MD&A, CEO/CFO certifications, early warning reports, annual information forms, and AGM materials.
- Draft and prepare corporate documentation relating to incorporations, amalgamations, continuances, dissolutions, resolutions, and other corporate transactions.
- Conduct securities-related research and assist with the development and maintenance of precedents.
- Provide administrative support to the securities group and assist with special projects as required.
Qualifications
- Minimum of five years’ experience in a securities, corporate, or combined legal support role within a law firm.
- Certificate or diploma from a Legal Administrative Assistant or Paralegal program.
- Strong working knowledge of securities filing platforms and reporting issuer requirements.
- Excellent organizational, analytical, and project management skills.
- Exceptional attention to detail with strong proofreading, written, and verbal communication abilities.
- Proven ability to manage competing priorities and meet deadlines in a fast-paced environment.
- Advanced proficiency with Microsoft Office and legal document management software.
